PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THEY APPLY TO ALL USERS OF SOAPY JOE’S WEBSITE AND SOAPY JOE’S PRODUCTS AND SERVICES, REGARDLESS OF WHETHER YOU CREATE AN ACCOUNT ON THE WEBSITE.
1. Choice of Law and Forum
These Terms will be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Subject to the dispute resolution and arbitration provisions set forth below, you hereby consent and submit to the personal jurisdiction of the state courts located in San Diego, California and the federal courts located in San Diego, California. If any provision of these terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. Any waiver of any provision of these Terms must be in writing signed by an authorized representative of Soapy Joe’s to be valid. A waiver of any provision hereunder shall not operate as a waiver of any other provision, or a continuing waiver of the same provision in the future.
IF YOU ARE A CONSUMER, HOWEVER, THIS PROVISION SHALL NOT BE CONSTRUED TO LIMIT YOUR RIGHTS UNDER THE CONSUMER PROTECTION LAWS OF YOUR STATE OF RESIDENCE.
2. Dispute Resolution: Resolution by Arbitration and Class Action Waiver
You and Soapy Joe’s agree that any legal or equitable claim (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory) relating to the use of the Soapy Joe’s website or any Soapy Joe’s product or service (referred to as a “Claim”) will be resolved as follows:
Informal Resolution
You and Soapy Joe’s will first attempt to resolve any Claim informally. In the event that any dispute between Soapy Joe’s and you arise out of or relates to: (i) these Terms; (ii) the Soapy Joe’s website; or (iii) the purchase of any product or service from Soapy Joe’s, you and we agree to try to promptly resolve any such dispute informally. Please send a written notice describing the dispute to [email protected].
Formal Resolution by Arbitration / Class Action Waiver.
READ THE FOLLOWING ARBITRATION PROVISION CAREFULLY, IT LIMITS YOUR RIGHTS, INCLUDING THE RIGHT TO MAINTAIN A COURT ACTION.
You and Soapy Joe’s agree that the Federal Arbitration Act applies and governs the interpretation and enforcement of this provision (despite the choice of law provision provided above). You and Soapy Joe’s agree that any dispute, controversy, or Claim arising out of or relating to these Terms, your use of the Soapy Joe’s website, or the purchase of any product or service from Soapy Joe’s shall be governed as set forth below in this section. You and Soapy Joe’s further agree that the arbitrator shall have the exclusive power to rule on his or her own jurisdiction, including any objections with respect to the existence, scope or validity of the arbitration provision or to the arbitrability of any claim or counterclaim. This arbitration provision will survive the termination or expiration of these Terms.
If you and Soapy Joe’s cannot resolve a Claim informally, any Claim asserted by either party will be resolved only by binding arbitration (“Arbitration”). By agreeing to Arbitration, both you and Soapy Joe’s understand and agree that all processes to settle disputes shall be decided by a single arbitrator and that you are waiving your rights to maintain other available resolution processes, such as a court action or administrative proceeding, to settle disputes. Instead of suing in court, both you and Soapy Joe’s each agree to settle disputes (except certain small claims as set forth below) only by Arbitration.
ARBITRATION MEANS THAT YOU WAIVE YOUR RIGHT TO A JURY TRIAL.
The rules in Arbitration are different. There is no judge or jury, and review is limited, but an arbitrator can award similar damages and relief and must consider the same limitations stated in these Terms as a court would. The Arbitration will be conducted before JAMS (jamsadr.com) under the JAMS Streamlined Arbitration Rules and Procedures (referred to as the “JAMS Rules”) and under the rules set forth in these Terms. If there is a conflict between the JAMS Rules and the rules set forth in these Terms, the conditions set forth in these Terms will govern. You may in Arbitration seek any and all remedies otherwise available to you pursuant to the law of the governing state, province, or territory, as applicable. If you decide to initiate Arbitration, Soapy Joe’s agrees to pay the Arbitration initiation fee and any additional required deposit required by JAMS to initiate your Arbitration. All other fees, such as the arbitrator’s compensation, attorneys’ fees, and expenses of travel to the Arbitration, will be paid in accordance with JAMS Rules. The arbitration will be held at a location in the state, province, or territory of your residence, if possible, unless you and Soapy Joe’s both agree to another location or virtual Arbitration. The JAMS Rules, as well as instructions on how to initiate an Arbitration proceeding with JAMS, are available at jamsadr.com.
Special rules in the Arbitration Proceeding.
1. Except for errors of law, the arbitrator’s decision is final and binding on all parties and may be enforced by any Federal or State court that has jurisdiction.
2. The substance of any dispute where public injunctive relief is available shall be decided by a court of competent jurisdiction. Only if the claimant succeeds on the Claim
permitting the remedy of a public injunction may such claimant request that a court of competent jurisdiction enter an injunction in conformity with the arbitral award.
3. Neither you nor Soapy Joe’s shall be entitled to join or consolidate Claims in Arbitration by or against other individuals or entities or arbitrate any Claim as a representative member of a class or in a private attorney general capacity.
THIS MEANS THAT YOU WAIVE YOUR RIGHT TO INITIATE OR PARTICIPATE IN ANY CLASS ACTION OR CONSOLIDATED ACTION WHATSOEVER.
Accordingly, you and Soapy Joe’s agree that the JAMS Class Action Procedures do not apply to any Arbitration. A court may sever any portion of this dispute resolution provision if it finds such unenforceable, except for the prohibition on class, representative and private attorney/lawyer general arbitrations.
Notwithstanding the obligation to arbitrate all Claims under these Terms, you may assert an individual Claim in small claims court of your jurisdiction in lieu of Arbitration.
3. Limited Time to File Claims
You agree that you will assert any Claim arising out of your use of any Soapy Joe’s website or the purchase of any Soapy Joe’s product or service within one (1) year after the Claim arises, or such claim will be barred.
4. Severability and Enforceability
If any provision or portion of these Terms is held to be illegal, invalid, or unenforceable, in whole or in part, it shall be modified to the minimum extent necessary to correct any deficiencies or replaced with a provision which is as close as is legally permissible to the provision found invalid or unenforceable and shall not affect the legality, validity or enforceability of any other provisions or portions of these Terms.

Terms and Conditions
Soapy Joe’s is sponsoring a promotion from June 23, 2026 – June 28, 2026, wherein Soapy Joe’s will award one (1) Magic Joe Annual Membership (approximate retail value: $440) to one winner. To qualify, entrants must follow @soapyjoes on Instagram and tag a friend in the comments of the giveaway post during the promotional period of 6/23/26 – 6/28/26. Eligibility

PRIZES

Soapy Joe’s Car Wash is offering charities, non-profits, schools, youth sport organizations an opportunity to schedule a fundraising event(s) at a Soapy Joe’s Car Wash Location. To qualify for the fundraiser, an organization must be able to receive tax-deductible donations, (i.e., your organization must be exempt from federal income tax). This typically includes public entities (e.g., public schools), religious organizations, and nonprofit entities covered under section 501(c)(3) of the Internal Revenue Code.
Fundraising event requests are not guaranteed unless the submitting organization (if accepted, “Organization”) receives a confirmation email from Soapy Joe’s Car Wash accepting the request. If a fundraising event is approved, the date and time approved (the “Event”) will be referenced in the approval email, and the following terms and conditions apply:
An Organization with an approved Event may direct any questions (leading up to the Event, or on Event Day) to [email protected].
Once approved, the Organization will be provided with one electronic version of the Event fundraising flyer (the “Flyer”) for copying and distribution by the Organization as described below. The Flyer artwork, excluding the Organization name and logo, is owned by Soapy Joe’s Car Wash or its affiliates and may be used by the Organization only as described in these terms and conditions.
The Organization will make copies of the Flyer at its own expense. All other advertising costs related to the Event incurred by the Organization are also the responsibility of the Organization.
The Organization may, also at its own expense, send Flyers to all supporters in the Organization’s database, post to Organization’s website, distribute to the Organization’s employees, friends, families and members of the community to promote the Event. By participating in the Event and using the Flyer, Organization warrants and represents that distributing the Flyers as described in the prior sentence is not in violation of any terms of use or Organization policies. Organization takes all responsibility for complying with any applicable laws (including without limitation online solicitation laws and the CAN-SPAM Act and/or CASL, as applicable) and Organization agrees to indemnify, defend and hold Soapy Joe’s Car Wash, its parent company, any affiliates and each of their respective directors, officers and employees harmless from and against any claims by any third parties related to any such contact or violation of any laws.
In connection with the Event, the Organization may use the name and logo of Soapy Joe’s Car Wash, as applicable, only to promote and otherwise factually describe the Event; provided, however, that the Organization may not issue a press release to local media promoting the Event, without Soapy Joe’s Car Wash’s prior written approval.
The Soapy Joe’s Car Wash location will donate to the Organization 40% of net sales for sales where a promotional codeword is entered at the time of purchase online. The promotional codeword is valid for a 3-day period that the organization shall choose. The promotional codeword will be available on the Flyer so they may purchase single washes, bundles, gift cards, and monthly and annual memberships online.
A Soapy Joe’s third-party vendor, Force 4 Good, will mail a check on behalf of Soapy Joe’s Car Wash to Organization for the total donation amount approximately 45 days following Event.
Disclaimers: All scheduled events are subject to cancellation by Soapy Joe’s Car Wash for the approved car wash location, at their discretion.
Soapy Joe’s Car Wash is not responsible for any technical issues related to tracking any Fundraisers.
On occasion, Soapy Joe’s may need to close the site temporarily due to mechanical issues. Soapy Joe’s is not responsible for any refunds or credits to Organization for such downtime.
